Country of last substantial transformation
Country in which goods underwent their last economically justified working or processing, determining their non-preferential origin.
Definition and principle
The country of last substantial transformation is the central concept for determining the non-preferential origin of goods manufactured in multiple countries. When a product is made from materials originating in different countries, its origin is attributed to the country where the last substantial, economically justified working or processing took place, carried out in an undertaking equipped for that purpose and resulting in the manufacture of a new product or representing an important stage of manufacture.
Legal framework
This principle is enshrined in article 24 of the UCC (Regulation EU 952/2013), which reproduces the historical wording of the Community Customs Code. The specific criteria for determining what constitutes substantial transformation are detailed in Annex 22-01 of Delegated Regulation 2015/2446 for each product type. The case law of the Court of Justice of the European Union (CJEU) has helped clarify this concept, notably in the Brother and Hoesch judgments.
Assessment criteria
- The transformation must be economically justified: it must not have the sole purpose of circumventing trade policy measures
- It must result in a new product or represent an important stage of manufacture
- Simple assembly, packaging, sorting, or repackaging operations generally do not constitute substantial transformation
- Annex 22-01 sets objective criteria by product (change of tariff heading, value added threshold, specific operation)
Practical implications
- Determinant for the application of anti-dumping duties: insufficient transformation in a third country does not allow escaping duties applicable to the real country of origin
- Crucial for origin marking ("Made in"): minimal transformation practices to obtain misleading marking are penalised
- Customs authorities may request detailed documentary evidence of the manufacturing process
